Terms of Service

These Terms of Service ("Terms") govern your access to and use of the GlucoseSense platform, including our website, web application, and mobile applications (collectively, the "Service"), operated by GlucoseSense Ltd ("Company," "we," "us," or "our"), a company registered in Kigali, Rwanda.

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service. These Terms apply to all users of the Service, including healthcare providers, clinic administrators, patients, and any other visitors.

"Platform" refers to the GlucoseSense web application and mobile applications.

"Healthcare Provider" refers to licensed doctors, nutritionists, and other medical professionals who use the Platform to monitor and manage patient care.

"Clinic Administrator" refers to individuals who manage healthcare facilities and their associated providers on the Platform.

"Patient" refers to individuals whose glucose data is recorded and monitored through the Platform.

"Health Data" refers to any glucose readings, medical information, or health-related data processed through the Platform.

"Subscription" refers to the paid service plan that grants access to premium features of the Platform.

You must be at least 18 years of age to create an account on the Platform. If you are creating an account on behalf of a healthcare facility, you represent that you have the authority to bind that organization to these Terms.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account.

Healthcare Providers must maintain valid professional licenses in Rwanda and provide accurate credential information during registration. We reserve the right to verify professional credentials and suspend accounts where credentials cannot be verified.

You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

We take the privacy and security of Health Data seriously. Our collection, use, and protection of personal and health data is governed by our Privacy Policy, which is incorporated into these Terms by reference.

All Health Data transmitted through the Platform is encrypted in transit and at rest using industry-standard encryption protocols. We comply with applicable Rwandan data protection laws, including the Law Relating to the Protection of Personal Data and Privacy (Law No. 058/2021).

Healthcare Providers and Clinic Administrators are responsible for obtaining appropriate patient consent before entering patient data into the Platform. The Platform provides tools to facilitate consent management, but the legal responsibility for obtaining consent rests with the healthcare provider or clinic.

The Platform is a tool designed to assist healthcare providers in monitoring and managing patient glucose levels. It is NOT a substitute for professional medical judgment, diagnosis, or treatment.

The alerts and notifications generated by the Platform are based on configurable thresholds and are intended to support, not replace, clinical decision-making. Healthcare providers remain solely responsible for all clinical decisions regarding patient care.

GlucoseSense does not provide medical advice. Patients should always consult their healthcare provider before making any changes to their diabetes management plan.

We do not guarantee the accuracy of glucose readings transmitted from third-party glucose monitoring devices. The accuracy of readings depends on the proper calibration and use of the monitoring device.

You agree not to use the Service to:

• Upload, transmit, or distribute any content that is unlawful, harmful, threatening, abusive, or otherwise objectionable.
• Impersonate any person or entity, or falsely state or misrepresent your affiliation with a person or entity.
• Interfere with or disrupt the Service or servers or networks connected to the Service.
• Attempt to gain unauthorized access to any portion of the Service or any other systems or networks connected to the Service.
• Use the Service to collect or store personal data about other users without their express permission.
• Use automated means, including bots, crawlers, or scrapers, to access the Service without our prior written consent.
• Transmit any viruses, worms, defects, Trojan horses, or any items of a destructive nature.
• Use the Service in violation of any applicable Rwandan law or regulation.

Certain features of the Platform require a paid Subscription. Subscription fees are billed on a monthly or annual basis, as selected during registration.

All fees are quoted in Rwandan Francs (RWF) unless otherwise stated. Payment may be made via mobile money (MTN Mobile Money, Airtel Money), bank transfer, or other payment methods as made available on the Platform.

Subscriptions automatically renew at the end of each billing period unless cancelled at least 7 days before the renewal date. You may cancel your Subscription at any time through your account settings.

We reserve the right to change Subscription fees upon 30 days' notice. Fee changes will take effect at the start of the next billing period following the notice.

Refunds may be issued at our sole discretion. Requests for refunds must be submitted within 14 days of the charge.

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may do so through your account settings or by contacting us.

Upon account termination, we will retain Health Data for a period of 5 years in accordance with Rwandan health records retention requirements, after which it will be securely deleted. You may request an export of your data prior to account termination.

To the maximum extent permitted by Rwandan law, in no event shall GlucoseSense, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of or inability to access or use the Service.
• Any conduct or content of any third party on the Service.
• Any Health Data or content obtained from the Service.
• Unauthorized access, use, or alteration of your transmissions or content.

Our total liability for any claims arising out of or relating to these Terms or the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

Nothing in these Terms shall limit or exclude our liability for death or personal injury caused by our negligence, or for fraud or fraudulent misrepresentation.

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use the Service after any revisions become effective, you agree to be bound by the revised Terms. If you do not agree to the new Terms, you are no longer authorized to use the Service.

These Terms shall be governed and construed in accordance with the laws of the Republic of Rwanda, without regard to its conflict of law provisions.

Any disputes arising from these Terms or the Service shall be resolved through the competent courts in Kigali, Rwanda. Before initiating any legal proceedings, the parties agree to attempt resolution through good-faith negotiation for a period of 30 days.
